- Introduction and Acceptance of Terms
Welcome to Nexa up LLC (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of our local SEO services, website, and related marketing solutions. By hiring our agency, signing a Service Agreement, or accessing our services, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree to all of these Terms, please do not use our services.
- Scope of Services
- Local SEO Optimization: We will provide local search engine optimization services as outlined in your specific proposal or Statement of Work (SOW). This may include Google Business Profile optimization, local citation building, on-page SEO, review management strategy, and local keyword tracking.
- Third-Party Platforms: Our services rely on third-party platforms (e.g., Google, Bing, Yelp, Facebook). We are not responsible for sudden changes to search engine algorithms, ranking fluctuations, or policy updates enacted by these third-party platforms that may impact your visibility.
- Client Obligations and Cooperation
- Access and Permissions: To perform our duties, you agree to grant us timely access to your website CMS, Google Business Profile, hosting accounts, social media profiles, and any other relevant analytics or directories.
- Accuracy of Information: You warrant that all information, business details, logos, and content provided to us are accurate and that you have the legal right to use them.
- Approvals: To maintain project momentum, you agree to review and provide feedback or approvals on deliverables (such as content, citations, or landing pages) within 5 business days of request. Delays on your part may result in extended timelines.
- Fees, Billing, and Payment Terms
- Payment Structure: Fees are billed on a monthly retainer basis or according to the milestone schedule outlined in your SOW. Monthly retainers are billed in advance.
- Late Payments: Invoices are due within 7 days of the invoice date. Late payments may incur a fee of 1.5% per month (or the maximum allowed by law) on the outstanding balance, and we reserve the right to pause campaigns until accounts are brought current.
- No Refunds: All service fees, setup fees, and retainer payments are non-refundable once work has commenced.
- Term and Termination
- Duration: This Agreement begins on the date of signing and continues on a month-to-month basis or for the fixed term specified in your SOW.
- Cancellation: Either party may terminate the monthly agreement by providing 30 days of written notice prior to the next billing cycle.
- Effect of Termination: Upon termination, you remain responsible for payment for all services rendered up to the effective date of termination. We will transfer control of assets (like optimized Google Business Profiles or created content) to you, provided your account balance is paid in full.
- Intellectual Property and Ownership
- Client Property: You retain all rights to your existing website, logos, brand assets, and content provided to us.
- Agency Property: Any proprietary software, methodologies, reporting templates, or strategic frameworks developed by [Your Company Name] prior to or independently of this agreement remain our exclusive property.
- Deliverables: Upon full payment, you own the final custom content, optimized listings, and deliverables created specifically for your campaign.
- Limitation of Liability and Warranties
- No Guarantee of Rankings: SEO is an ever-evolving landscape. While we employ industry best practices to improve your local visibility, search engines do not guarantee specific ranks. Therefore, we do not guarantee specific search engine rankings, traffic volume, or lead generation numbers.
- Limitation of Liability: To the maximum extent permitted by law, [Your Company Name] shall not be liable for any indirect, incidental, special, or consequential damages (including lost profits or business interruption) arising out of or related to our services. Our total liability shall not exceed the total fees paid by you in the 3 months preceding the claim.
- Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut without regard to its conflict of law provisions.
